1. Agreement to Terms

By accessing or using the Abnito website (abnito.ai), purchasing or using Abnito hardware, or using any Abnito services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

These Terms constitute a legal agreement between you (or the entity you represent) and Abnito ("we," "us," or "our"), a company incorporated in the State of Delaware, USA.

2. Services Description

Abnito provides Industrial Charm™, its plug-and-play AI hardware, and related software for manufacturing environments, including:

• Voice AI for capturing operator knowledge and structured documentation
• Vibration analytics for machine health monitoring and predictive maintenance
• Document intelligence for extracting data from uploaded files
• An AI-powered chat interface for querying factory data

3. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. By using our Services, you represent and warrant that you meet these requirements.

4. User Accounts

Certain features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately at info@abnito.ai if you suspect unauthorized access.

5. Hardware & Product Terms

5.1 Purchase & Delivery

Hardware purchases are subject to separate order agreements. Pricing, delivery timelines, and payment terms will be specified in your order confirmation or enterprise agreement.

5.2 Warranty

Industrial Charm™ hardware comes with a limited warranty as specified in the applicable product documentation. This warranty does not cover damage caused by misuse, unauthorized modification, or external factors.

5.3 Returns

Returns and refunds are handled in accordance with the terms of your purchase agreement. Contact info@abnito.ai for return inquiries.

6. Data Ownership

You retain full ownership of all data captured by Abnito hardware and uploaded to the Abnito platform, including voice recordings, vibration data, and documents ("Customer Data"). Abnito does not claim any ownership rights over Customer Data.

We process Customer Data solely to provide the Services and do not sell, share, or use it for purposes other than delivering and improving our Services, unless explicitly authorized by you.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, or disassemble Abnito hardware or software
• Interfere with or disrupt the integrity of the Services
• Remove, alter, or obscure any proprietary notices on Abnito products
• Use the Services to store, transmit, or process data in violation of third-party rights

8. Intellectual Property

All Abnito trademarks, logos, software, hardware designs, and content on our website are the exclusive property of Abnito and are protected by applicable intellectual property laws. Nothing in these Terms grants you a right to use Abnito's name, logos, or trademarks without prior written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABNITO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR PRODUCTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claim arising from these Terms or the Services shall not exceed the amount paid by you to Abnito in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Abnito does not warrant that the Services will be uninterrupted, error-free, or completely secure.

11. Indemnification

You agree to indemnify and hold harmless Abnito, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions regarding data ownership, limitation of liability, and indemnification survive termination.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Santa Clara County, California.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Services after changes constitutes acceptance of the revised Terms.
